Direct Counsel is representing a well-known AmLaw firm seeking a Corporate Associate in New York.

Position Summary:
The Corporate group is looking for an experienced Leveraged Finance Associate with 2-6 years of credit, banking, and finance experience from a peer BigLaw firm.

Responsibilities:

• Represent lender and/or borrower-side financings.
• Work on syndicated credit facilities, acquisition financings, and/or asset-based lending.
• Draft, review, and revise credit agreements, debt commitment letters, security agreements, and closing deliverables (including secretary's certificates, resolutions, legal opinions, schedules, and exhibits).
• Represent private equity sponsors and portfolio companies, as applicable.
• Manage deals, client interaction, and work product with a high level of responsibility.

Qualifications:

• 2-6 years of leveraged finance experience.
• Strong academic background.
• Superior drafting and negotiation skills.
• Diligent, proactive, supportive, and team-oriented.
• Admitted to the New York Bar.

Compensation:

• Expected pay range: $235,000 - $390,000 per year.
• Salary determined based on education, experience, internal equity, and market data (including geographic differentials).
• Eligible for discretionary bonus.
