Job Description

Established Law firm located in downtown Boston seeks a junior corporate paralegal to support the Senior paralegal and corporate chair in all areas of legal research and transactions! This is great entry level role with lots of room to learn and grow within the firm. Firm offers a work schedule with three days remote after training!

Responsibilities:

  • Assists with the preparation of transaction documents.
  • Prepares and files annual reports for over 500 entities; maintains annual report matrix.
  • Coordinates closings and prepares related documents.
  • Prepares and files entity formation documents.
  • Prepares corporate and securities filings and maintains corporate records.
  • Assists in preparing and filing UCC filings.
  • Assists in the Carta onboarding process and maintenance of Carta records.
  • Assists in preparing guidance memos, maintaining corporate governance records, including internal organizational structure charts, board resolutions and minute books.
  • Prepares stock certificates and maintains capitalization tables.
  • Obtains and files documents with public agencies.
  • Organizes and manages electronic and paper files and ensures that all files are maintained in accordance with department protocols and within the case management systems.
  • Performs research using various research tools and other court-related websites for case law, statues, articles, books, etc.

QUALIFICATIONS:

  • Bachelor’s degree.
  • Minium one (1) year of paralegal experience or equivalent experience.
  • Proficiency in Microsoft Office suite (Word, Outlook, PowerPoint, Excel), and the ability to learn new software programs.

  • Ability to establish and maintain strong relationships with members of the department and within the Firm.
