Job Description

Primary responsibilities will include:

Corporate Governance

• Assist with the preparation of Board and Committee meeting materials
• Assist with the drafting and retention of Board minutes and stockholder actions
• Assist with state and federal securities and other corporate filings
• Issue and track paperwork for new stock option grants, option exercises and other stock matters
• Print and distribute new stock certificates
• Understand complex capitalization structure and respond to management and stockholder requests for information
• Assist in due diligence activities related to the IPO process, including document review and data gathering

Subsidiary Management

• Provide support for all subsidiaries, branch offices and other global legal entities
• Coordinate management of corporate records and filings for all global legal entities
• Coordinate signature requests and authorizations for subsidiaries and other legal entities

Contracts Management

• Maintain an organized contract repository and ensure all contracts are up-to-date and compliant
• Validate internal approvals and coordinate signature requests
• Track contract expiration dates and proactively manage contract renewals and terminations
• Be able to produce contracts as part of due diligence or as a response to requests in the ordinary course of business
• Assist in the development and maintenance of contract templates and standard clauses

Compliance

• Provide general support with corporate compliance matters including Ethics/Code of Conduct, Export/Trade, and Data Privacy
• Manage legal record keeping for all compliance matters
• Assist with development of policies and procedures in growing compliance department

What We Look for In You:

• You should have 3 -8 years of experience, preferably in-house
• You are a self-starter, well organized and eager to learn
• You have demonstrated proficiency with software tools, such as Docusign, web-based contract databases, stock management portals and subsidiary databases
• You are confident in your skills, but also know when to ask for help
